  • Any changes to scope or additional features require written change orders and may incur additional fees.

  • Deposit: 50 % of the project fee due upon contract signing.

  • Balance: 50 % due upon delivery of Deliverables or project launch.

  • Late Payments: Overdue amounts incur interest at 1.5 % per month.

  • Additional Work: Billed at €60 /hr or under a pre-arranged retainer agreement.

5. Intellectual Property

  • Client Materials: You retain all rights to assets you provide.

  • Siteon Materials: Siteon retains copyrights to code libraries, components, templates, and any pre-existing IP.

  • Deliverables: Upon full payment, Siteon grants you a perpetual, worldwide license to use the Deliverables for your business purposes.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement, and to use it solely for purposes of performing the Services.

7. Warranty Disclaimer

  • Siteon warrants that Services will be performed in a professional manner consistent with industry standards.

  • Except as expressly stated, Services and Deliverables are provided “as is” and Siteon disclaims all other warranties, express or implied.

8. Limitation of Liability

  • To the maximum extent permitted by law, Siteon’s total liability under these Terms shall not exceed the total fees paid by the Client for the Services.

  • Siteon is not liable for indirect, incidental or consequential damages arising from use of the Deliverables.

9. Termination

  • Either party may terminate for material breach with 15 days’ written notice if the breach remains uncured.

  • Upon termination, the Client pays for all Services rendered up to the termination date and receives any completed Deliverables.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Germany. Any dispute shall be resolved by binding arbitration in Berlin or by the competent courts of Berlin.

11. Changes to Terms

Siteon may revise these Terms from time to time. We will post the updated Terms with a new “Last updated” date. Continued use of our Services constitutes acceptance of the revised Terms.
